SMART Recovery Host Terms

When you click "I agree", these terms make a contract between you and SMART Recovery Global Ltd. Please read the terms carefully.

We can change these terms after you agree, but we will tell you if we change them. All words in capital letters are explained at the end of these terms.

We give you the right to use, copy and show the SMART Recovery IP only to run SMART Recovery Meetings that are registered on this platform. You can't give this right to anyone else, and you know that we can give the same right to others in your country.

1.1 The SMART Recovery IP is important to us, so you agree:

(a) to follow the Code of Conduct, our rules and brand guidelines that we give you sometimes;

(b) to follow our reasonable instructions about how to use the SMART Recovery IP and brand;

(c)not to make any changes to the SMART Recovery IP without our written agreement; and

(d) not to put your own trademarks or brand on or around the SMART Recovery logo.

This agreement starts when you click "I agree" and continues until it is ended.

You can end this agreement at any time by telling us you want to end it.

We can end this agreement by giving you 30 days' notice or right away if:

(a) you don't fix a breach of this agreement within 7 days' notice from us to do so, or the breach can't be fixed;

(b) you do something that, in our reasonable opinion will harm, or is likely to harm the SMART Recovery name or reputation.

When this agreement ends, the license ends and you must give back all SMART Recovery IP to us, where it's reasonable to do so.

Tell us right away if you know of any behavior or activity that is offensive, corrupt or disreputable or that would otherwise cause bad publicity in any way related to the SMART Recovery meetings or program.

You will need to collect and report on certain data from your SMART meetings. We will tell you what data is needed from time to time.

At all times, we own and will continue to own all Intellectual Property Rights in the SMART Recovery IP. If you or we make any improvements, changes, enhancements, modifications or enhancements to the SMART Recovery IP (Improvements), such Improvements will always belong to and remain vested solely in us.

To the extent allowed by law, we exclude liability for any indirect or consequential loss or damage suffered or incurred or arising in connection with your use of the SMART Recovery IP.

You protect us against any loss suffered or incurred by us in connection with or arising out of:

(a) any claim made or threatened, whether by legal proceedings or otherwise, against us by a third party in respect of or arising out of the use by you of the SMART Recovery IP other than in accordance with this agreement;

(b) any illness, injury or death to any person, or any loss or damage to any property of any person caused by any negligent act or omission by you;

(c) fraudulent or wrongful act or omission by you,

under or in connection with this agreement or your hosting of the SMART Recovery meetings except to the extent that the loss was caused by us.

You must keep all confidential information confidential and use that information only to perform your duties under this agreement.

You must follow any duties you may have under relevant Privacy Laws. You must make sure that:

You are allowed to give any Personal Information that you give to us and that such consent has been given in accordance with the Privacy Laws;

You give us all help as is reasonably needed to help us in following our duties under any Privacy Laws; and

You do not do anything that would cause us to break any Privacy Laws or that would otherwise result in us breaking the Privacy Laws.

All notices given by you must be sent to support@smartrecoveryglobal.org. We will give you notice by emailing you or by posting updates on our website.

This agreement is governed by and understood in accordance with the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales, Australia.

Any failure by you or us to exercise any right under this agreement does not operate as a waiver and the single or partial exercise of any right by you or us does not preclude any other or further exercise of that or any other right by you or us.

If any term or provision of this agreement is held by a court to be illegal, invalid or unenforceable under the applicable law, that term or provision will be severed from this agreement and the remaining terms remain unaffected.

This agreement contains the entire understanding between you and us concerning the subject matter of the agreement and supersedes all prior communications.

This agreement cannot be changed or varied except in writing and signed by you and us.

Any warranty, indemnity, or obligation of confidentiality in this agreement will survive termination. Any other term which by its nature is intended to survive termination of this agreement survives termination of this agreement.

In this agreement unless the context otherwise requires:

Intellectual Property Rights means all copyright and similar rights (including moral rights), all registered or registerable rights in relation to inventions (including patent rights), trade marks, designs, circuit layouts and all other rights throughout the world resulting from intellectual activity in the industrial, scientific or artistic fields.

Personal Information means:

(a) "Personal Information" as defined in the Privacy Act (Cth) 1988; and

(b) "Personal Data" as defined in the General Data Protection Regulation 2016/679.

Privacy Law means the Privacy Act (Cth) 1988 or General Data Protection Regulation 2016/679 as amended or replaced from time to time, or any other laws related to the collection of Personal Information as may be applicable in the jurisdiction where the Personal Information is collected.
